1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the AI Gateway service (the "Service"), provided by AI Gateway ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part, you may not access the Service.

2. Description of Service

AI Gateway is a developer tool that helps publishers and content creators:

  • Crawl and index website content for AI agents and LLMs
  • Generate standardized llms.txt files for AI-friendly content discovery
  • Create JSON-LD structured data markup for improved SEO and AI comprehension
  • Enable semantic search and RAG-ready content chunking

The Service is provided "as is" and "as available" for informational and development purposes.

3. Eligibility

You must be at least 16 years old and have the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:

  • ❌ Crawl websites without authorization or in violation of robots.txt
  • ❌ Harvest, scrape, or misuse personal data of third parties
  • ❌ Generate spam, misleading content, or deceptive structured data
  • ❌ Interfere with, disrupt, or overload the Service infrastructure
  • ❌ Reverse engineer, decompile, or attempt to extract source code
  • ❌ Use the Service for illegal, fraudulent, or harmful purposes

We may monitor usage patterns to enforce these restrictions and protect Service integrity.

6. Content Ownership & Licensing

6.1 Your Content

You retain all rights to content you submit to the Service. By submitting content for indexing, you grant us a limited, non-exclusive, royalty-free license to:

  • Process, chunk, and embed your content for the purposes of the Service
  • Generate and serve llms.txt and JSON-LD outputs for your authorized domains
  • Store processed data securely to provide the Service to you

This license terminates when you delete your content or close your account.

6.2 Our Technology

AI Gateway's software, algorithms, models, and outputs (excluding your content) are our proprietary intellectual property. You receive a limited license to use generated llms.txt and JSON-LD files on your websites, subject to these Terms.

7. Credits & Payments

7.1 Credit System

AI Gateway uses a credit-based model for AI-powered operations:

  • Credit Packs: Purchase credits in bundles ($5 = 50 credits, $20 = 250 credits)
  • Credit Usage: 1 credit is consumed per AI operation (JSON-LD generation, semantic chunking, llms.txt export, etc.)
  • No Expiration: Unused credits never expire and remain in your account indefinitely
  • Non-Transferable: Credits are tied to your account and cannot be transferred or sold

7.2 Payments & Refunds

  • Payments are processed securely via our payment partner (Suby/Stripe)
  • Credit purchases are final, but unused credits may be refunded within 30 days of purchase
  • To request a refund, contact billing@aigateway.dev with your order ID
  • Refunds are processed to the original payment method within 5-10 business days

7.3 No Subscription, No Auto-Renewal

AI Gateway does not offer subscription plans. All purchases are one-time payments for credits. You will never be charged automatically, and there are no recurring fees.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or completely secure
  • Generated llms.txt or JSON-LD will guarantee search engine or AI agent performance
  • Crawled content will be complete, accurate, or up-to-date
  • The Service will meet your specific requirements or expectations

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI GATEWAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU USED THE FREE TIER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless AI Gateway and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or misuse of the Service
  • Your violation of these Terms or applicable law
  • Your submission of content that infringes third-party rights

11. Termination

Either party may terminate these Terms at any time:

  • You: By deleting your account via the dashboard or contacting support
  • Us: Immediately if you breach these Terms, or with 30 days' notice for any other reason

Upon termination, your right to use the Service ceases immediately. Sections on Content Ownership, Disclaimer, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the European Union, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 60 days, disputes shall be settled by binding arbitration in accordance with the rules of the International Chamber of Commerce, with proceedings conducted in English.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 30 days before they become effective. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
